1. These terms and conditions constitute the entire understanding between the Parties and supersede all prior agreements, representations, or understandings, whether written or oral. 2. Both Parties agree to maintain strict confidentiality of all information exchanged during the course of this Agreement. Disclosure to third parties is permitted only with prior written consent or as required by law. This clause shall survive termination or expiry of the Agreement. 3. The Service Provider reserves the right to verify the identity and credentials of the Client before or during the provision of services. The Client shall provide all necessary documents and information truthfully and accurately. 4. The Client hereby verifies and declares that all information provided is true and correct to the best of their knowledge and belief. No material facts have been concealed. 5. Both Parties shall maintain professional behavior and mutual respect throughout the engagement. Any misconduct, harassment, or unprofessional communication may result in immediate termination of the Agreement. 6. All intellectual property rights in any materials, reports, or deliverables provided by the Service Provider shall remain its exclusive property unless otherwise agreed in writing. 7. The Client shall not reproduce, distribute, or use any deliverables beyond the scope of this Agreement without prior written approval from the Service Provider. 8. The Client agrees to indemnify, defend, and hold harmless the Service Provider, its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from breach of these terms or violation of applicable laws. 9. The Service Provider shall not be liable for any indirect, incidental, or consequential damages arising from the provision of services. 10. The Client shall pay a non-refundable advance—60% for B2B and 100% for B2C—strictly as per the invoice. 11. This Agreement shall commence upon acceptance and remain in effect until completion of services unless terminated earlier. The Service Provider may terminate the Agreement with immediate effect if the Client breaches any material term or engages in unlawful activity. 12. The Client agrees that any false promise or commitment made by them to any third party shall not render the Service Provider liable under any circumstances. 13. The Client confirms they are entering this Agreement voluntarily, in sound mind, without coercion or undue influence, and that all information provided is truthful and shared with full awareness. 14. Any dispute or disagreement shall first be resolved through mutual discussions. If unresolved, it shall be settled under the provisions of the Arbitration and Conciliation Act, 1996, with venue in Ahmedabad, Gujarat.
